Modernizing capital markets technology doesn't have to mean starting over. After two decades on Nasdaq Calypso, novobanco moved to CapCloud, Nasdaq’s fully managed, cloud-native operating model, to simplify a complex landscape and reduce customization. The payoff is a cleaner, more scalable foundation, one that positions one of Portugal's leading banks to extend Calypso across the full trading lifecycle. Nasdaq is entering a definitive agreement to acquire LeveL Markets, one of the leading off-exchange equity execution venues in the United States. LeveL Markets’ capabilities will advance Nasdaq's broader vision for always-on markets, expanding the company’s role in how liquidity is connected, capital is formed, and markets operate across an increasingly continuous global economy. Nasdaq is also launching Digital Liquidity Networks (DLN) — bringing together its expertise in digital assets and tokenized securities to help bring financial markets into an always-on world and architect the next era of capital markets. In Nasdaq’s second quarter, we achieved a series of historic milestones, reflecting the power of our platform and the disciplined execution of our team. We delivered 15% net revenue growth, generating $1.5 billion in net revenue, and diluted EPS of $1.07 — the first time in our history we have exceeded a dollar in quarterly EPS.  - Capital Access Platforms grew revenue 18% on an adjusted basis, driven by a landmark quarter for our Listings business — welcoming SpaceX, the largest IPO in history, alongside CerebrasQuantinuum, and Parabilis Medicines, which were the all-time largest IPOs in their respective industries. Our Index division surpassed $1 trillion in ETP assets under management for the first time ever, with record net inflows of $51 billion in the quarter. - Financial Technology delivered 15% organic revenue growth and 16% organic ARR growth, with double-digit growth across all three subdivisions. Nasdaq Verafin advanced its Agentic AI Workforce — now serving 750 clients — with the launch of the new AI workers for fraud and AML detection. Nasdaq Trade Surveillance expanded sales of its cross-market, signals-based detection tools, as well as its agentic AI workflow automation capabilities. Calypso demonstrated its ability to expand its collateral management module to encompass the transfer of tokenized collateral with two leading asset managers. - Market Services achieved record quarterly net revenue of $340 million, up 11% organically, driven by record volumes in U.S. equities and U.S. options. We also set new records in notional value traded during both the June Triple Witch expiration and the Russell Reconstitution.   Clients are increasingly looking to Nasdaq to help them navigate the forces driving the evolution of the global financial system. The need for critical infrastructure has never been greater, and we remain well-positioned to serve as the trusted transformation partner for our clients.  The above metrics are presented on a non-GAAP or adjusted basis. For the complete Nasdaq second quarter 2026 earnings release, including all reconciliations of U.S. GAAP to non-GAAP metrics, please visit: https://ir.nasdaq.com/
